## 1. Acceptance of Terms
By accessing, browsing, or purchasing from www.okashijpnind.com (“the Site”), you agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and our Master Shipping & Fulfillment Policy. If you do not agree to these terms, please do not use the Site.

## 2. User Eligibility & Account Registration

* Eligibility: You must be at least 18 years of age and possess the legal capacity to enter into a binding contract to use this Site or purchase any premium tier membership.
* Account Security: You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized account use.

## 3. Order Placement, Acceptance & Corporate Refusal Rights

* Nature of Offer: Placing an order or subscribing to a premium membership on this Site constitutes a binding offer to purchase the listed consumer products or services.
* Order Refusal: Okashi Private Limited reserves the absolute right to accept or reject any standard order or membership application at our sole discretion (including after payment has been processed via PayU) for reasons including but not limited to product unavailability, regional distribution restrictions, severe customs logjam, pricing errors, or suspected transactional fraud.

## 4. Pricing, Payments & Tax Compliance (GST)

* Currency and Taxes: All prices displayed on the Site are in Indian Rupees (INR) and are inclusive of the mandatory 18% Goods and Services Tax (GST) unless explicitly stated otherwise.
* Payment Gateways: All online payments are handled securely through our authorized payment aggregator, PayU. Payment must be fully captured and processed before our fulfillment network allocates any inventory.

## 5. Special Provisions for The Black Card Circle (Founding Members Club)
By registering for any SKU tier within The Black Card Circle (Founding Members Club)—including Bronze, Silver, Gold, Platinum, or Onyx tiers—you explicitly acknowledge and agree to the following operational and financial rules:

* Advance Commercial Purchase Only: Your financial transaction is legally classified as a non-refundable advance payment for curated consumer goods, retail tokens, apparel manufacturing, hospitality services, and event access. This transaction does not constitute an investment in corporate equity, shares, mutual funds, or collective investment schemes under SEBI or MCA guidelines. Membership carries zero voting rights, equity stake, interest, dividends, or direct cash-back profit sharing.
* The 3-Month Curation & Maturation Rule: To secure rare global imports and set up structural custom clearances, all membership tiers are subject to a mandatory 90-day deferred fulfillment window. Your active discount privileges, monthly snack stream deliveries, streetwear drops, and experiential café credits will commence exactly 90 clear calendar days from your verified transaction success date.
* The Value Matrix & 20% Discount Application: The extended value calculation of your tier (e.g., ₹17,00,000 value matrix for an Onyx Tier contribution of ₹10,00,000) includes the structural value of a flat 20% store-wide discount. This discount serves as a deduction against your allocated membership value balance until your tier’s specific spending cap is fully exhausted.
* Absolute Non-Refundability: Due to immediate overseas raw material sourcing and bulk logistics mobilization, all contributions to The Black Card Circle are strictly final and non-refundable. No subscription cancellations or partial cash withdrawals will be processed during or after the 3-month curation cycle.
* Travel and Hospitality Budget Caps: Premium travel benefits are strictly bound by internal financial caps: Platinum Tier domestic packages are capped at a maximum holiday value of ₹1,50,000; Onyx Tier international flight and cruise packages are capped at a maximum holiday value of ₹3,00,000. Any luxury booking costs exceeding these caps must be cleared directly by the individual member.

## 6. B2B Commercial Wholesale Operations

* Registered wholesalers, retailers, and distributors purchasing bulk snack inventories are subject to our dedicated B2B trade terms.
* All B2B transactions are treated as commercial-grade surface freight contracts. Freight quotes are generated ex-warehouse based on physical volumetric weight and are appended directly to the tax invoice before final dispatch.

## 7. Shipping, Delivery & Real-Time Logistics Tracking
All shipping and fulfillment procedures—including D2C marketplace delivery timelines, B2B commercial transport schedules, and micro-fulfillment 3PL structures aimed at minimizing regional Return-To-Origin (RTO) friction—are governed strictly by our master Shipping & Fulfillment Policy, which is incorporated directly into these Terms by reference.

## 8. Intellectual Property & Brand Ownership
All content displayed on the Site (including text, design layouts, digital graphics, brand logos, custom apparel illustrations, product recipes, and trademarked names) remains the exclusive intellectual property of Okashi Private Limited. Unauthorized duplication, brand scraping, commercial reproduction, or distribution of our media assets is legally prohibited.

## 9. User Prohibitions & Code of Conduct
While interacting with the Site, you are strictly prohibited from:

* Using automated data scrapers, harvesters, or extraction bots without our written consent.
* Uploading malicious code, viruses, or staging structural software attacks on our e-commerce server mesh.
* Impersonating any company officer, brand representative, or celebrity affiliate of Okashi.

## 10. Limitation of Liability & Force Majeure

* Total Liability Cap: To the maximum extent permitted by Indian law, the total aggregate liability of Okashi Private Limited for any legal claim arising out of these terms or product purchases shall not exceed the specific principal amount paid by the customer for that single transaction.
* Force Majeure Exceptions: Okashi shall not be held legally responsible for structural delays or non-performance caused by global shipping backlogs, import custom verification holds, domestic event cancellations due to artist unavailability, natural disasters, or public health lockdowns. In such cases, equivalent values will be credited back via digital product tokens.

## 11. Indemnification
You agree to fully defend, indemnify, and hold harmless Okashi Private Limited, its directors, corporate officers, logistics employees, and ecosystem partners from any financial losses, legal claims, liabilities, or expenses (including reasonable attorney fees) arising directly from your breach of these corporate terms.

## 12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India. Any irreconcilable dispute arising under this agreement shall first undergo good-faith negotiation. If unresolved, the dispute shall be submitted to final and binding arbitration in Lucknow, Uttar Pradesh, India, in accordance with the Arbitration and Conciliation Act, 1996.

## 13. Changes to the Master Terms
We reserve the sole right to revise or update these Terms at any time without prior individual notice. Revised editions will go live instantly on this URL with an updated "Effective Date". Continued interaction with the Site indicates full acceptance of the revised terms.
